Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Gratuitease mobile application, websites, digital tipping, valet ticketing, payment, analytics, and related services (collectively, the "Service") provided by Gratuitease, Inc. ("Gratuitease," "we," "us," or "our"). By selecting the acceptance control presented in the Service, creating an account, or using guest mode, you agree to these Terms and acknowledge our Privacy Policy. If you use the Service for a business, you represent that you have authority to bind that business.
Eligibility
You must be at least 18 years old, legally capable of entering into these Terms, and permitted by law to use the Service, including guest mode. Parent or guardian approval does not authorize a person under 18 to use the current Service. Businesses are responsible for confirming that their administrators and service professionals meet these requirements and are authorized to use the Service. We may request proof of eligibility and restrict an account if these requirements are not met.
The Service
Gratuitease helps customers, service professionals, and participating businesses manage digital tipping and related service workflows. Certain businesses may also use valet ticketing, parking payments, operational analytics, or other features. Features may differ by business, location, device, account type, and availability, and may change as we improve the Service.
Accounts, credentials, and unauthorized access
You must provide accurate information, keep it current, use a strong and unique password, protect your device and authentication methods, and promptly sign out of devices you no longer control. You may not share credentials or allow another person to impersonate you. You are responsible for activity authorized through your account, device, credentials, or supported authentication method.
Notify us immediately at support@gratuitease.com if you believe your account, password, email, device, payment method, or payout account has been lost, stolen, compromised, or used without permission. We may suspend access, delay a payout, place a transaction under review, require identity verification, or take other reasonable steps to protect users and the Service.
To the fullest extent permitted by law, Gratuitease is not responsible for losses caused by your failure to secure or promptly report compromise of your credentials or device, your authorization of another person, inaccurate information you supplied, or malicious conduct by a third party outside Gratuitease's reasonable control. This provision does not limit responsibility that cannot lawfully be limited, including responsibility arising from Gratuitease's fraud, willful misconduct, gross negligence, or violation of applicable law.
Payments, tips, payouts, and transaction authorization
Tips, parking charges, platform fees, processing fees, refunds, and payouts may be processed by third-party providers such as Stripe and supported mobile wallets. Your use of those services is also subject to their terms. Gratuitease is not a bank, card issuer, money transmitter, or payroll provider and does not guarantee bank, card-network, wallet, or payout timing.
Before confirming a payment, you must review the recipient, business, amount, fees, and other transaction details. Selecting the payment confirmation authorizes the displayed charge and the related allocation instructions. Promptly report suspected unauthorized, duplicate, incorrect, or misdirected activity. Available corrections depend on transaction status, payment-provider rules, applicable law, and whether funds have already been paid out or transferred.
When you choose a tip amount and proceed to the wallet or card confirmation, you confirm that the displayed worker and business are the intended recipient. Gratuitease does not add a separate recipient-confirmation checkbox. Completed tips may be difficult or impossible to reverse after processing or payout; this does not limit refund, error-resolution, chargeback, or other rights that cannot lawfully be waived.
Gratuitease does not silently reduce the stated tip. Separate tip-only customer card flows may accept only Stripe-verified credit cards and may include a separately disclosed technology fee. Gratuitease currently adds a $0.12 platform fee to each card-funded tip. The platform fee supports secure payment operations, infrastructure, notifications, customer support, and operation of the Service; it is separate from the worker's tip and is not distributed as tip income. A tip funded entirely by eligible Gratuitease promotional credit does not incur the platform fee or technology fee. The wallet or payment confirmation displays the applicable platform fee, technology fee, and total before authorization. Current pricing is also available in the Service and in our pricing disclosure. We may change the platform fee prospectively, but the applicable amount will be disclosed before payment authorization.
Integrated valet parking charges for participating valet companies and hotels add no customer technology fee and no Gratuitease parking percentage; Stripe processing is deducted from the valet connected account. Online parking payments require an active monthly payments SaaS plan and Stripe responsibility settings that prevent Gratuitease from paying the connected account's processing fees or unrecoverable payment losses. Refunds, disputes, duplicate payments, fraud, negative balances, and allocation errors may require a hold, correction, setoff, recovery, or reversal.
Service professionals and participating businesses
Service professionals receiving direct payouts are also subject to the Worker Payout and Tip-Reporting Agreement. Businesses that configure rosters, pools, direct payouts, or payroll reporting are also subject to the Participating Employer Agreement.
Gratuitease does not determine employment status. Participating businesses remain responsible for worker authorization, classification, lawful tip-pool design, payroll, wage statements, withholding, taxes, required reporting, and timely payment where those duties apply.
Tip attribution and pools
A tip may be attributed to one service professional or allocated under business-configured pool instructions. Pending displays are estimates until the customer charge succeeds and allocation is finalized. Businesses must configure pools only for eligible workers, review reports, and promptly correct errors. Customers authorize the selected amount and attribution shown at confirmation.
Valet ticketing and parking services
Gratuitease supplies software that participating hotels and valet operators may use to create and manage digital tickets, requests, vehicle records, parking payments, and operational information. The participating business—not Gratuitease—provides the parking, storage, retrieval, custody, and handling of the vehicle and remains responsible for its personnel and physical operations.
Ticket status, estimated retrieval time, parking location, photographs, and vehicle information may depend on information entered by the business or its personnel. Unless applicable law provides otherwise, Gratuitease is not responsible for loss of or damage to a vehicle, keys, or personal property, delay in vehicle retrieval, or acts or omissions of a hotel, valet operator, customer, service professional, or other third party.
Individual wearable subscription
Wearable service is an automatically renewing monthly subscription of $5.99 until canceled. Beacon equipment costs $12.99 per beacon and initial shipping costs $5.99 per beacon. The worker owns the beacon immediately, so cancellation does not require returning it. Manually handled replacement beacons cost $12.99 plus shipping. An eligible promotion may waive or discount the first monthly service charge without reducing the equipment or shipping charge; after the promotion, the subscription renews at $5.99 per month until canceled. The complete amount and renewal terms are shown before purchase authorization.
You may cancel online at any time through Manage Subscription in the app, which opens Gratuitease's Stripe-hosted billing portal. Except when account deletion or applicable law requires immediate termination, cancellation stops future renewal and wearable service remains available through the already-paid billing period. Charges already incurred are nonrefundable except where required by law or expressly stated during purchase. We provide renewal, trial or promotional-expiration, and price-change notices where required by law.
Order status, carrier, allowlisted tracking links, delivery, replacement, and cancellation history may appear in the app and may be sent through push notifications. Carrier information is supplied by the carrier or authorized Gratuitease operations staff and may not update in real time.
Bluetooth beacons and recipient discovery
Gratuitease may identify nearby service professionals using a phone or physical Bluetooth beacon. Physical beacons are registered to one business and assignment at a time, protected with server-managed credentials, and may include a separate UID frame used with the displayed UUID, major, and minor. Businesses and workers must promptly report a beacon that is lost, stolen, transferred, or no longer authorized and must follow the in-app recovery and reassignment process.
Bluetooth advertisements are radio signals and can potentially be copied, replayed, blocked, or broadcast somewhere else. A static UID and account assignment improve operational detection but are not cryptographic proof that a signal came from the original device. Gratuitease does not guarantee that beacon signals cannot be cloned or disrupted. Customers should review the worker and business shown before paying; businesses should investigate unexpected workers or duplicate signals and report suspected misuse. Gratuitease remains responsible for using reasonable safeguards and does not disclaim duties or remedies that applicable law does not permit us to disclaim.
A customer phone that has been completely offline since before a loss report may temporarily retain the old cached identity. Any queued payment can still be revalidated when it reaches the server.
Ticket-credit purchases
Ticket credits are prepaid units used by participating hotels and standalone valets to issue digital valet tickets through the Service; they are not cash, stored value, or redeemable for cash. One credit is consumed when a digital valet ticket is issued. The quantity and price are disclosed before checkout.
Unused paid ticket credits roll over and remain available until used or refunded. A renewal or top-up adds to the existing available balance and does not remove unused credits. Issued tickets, payment records, and audit history remain available under the Service's retention rules. Refunds of unused credits are subject to the terms disclosed in the Service, applicable written agreements, and law.
Communications
We may send service, security, account, transaction, and legal notices electronically. Optional valet-ticket text messages are governed by the separate Valet Ticket Text-Message Consent. Text-message consent is optional and is not bundled with acceptance of these Terms.
Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes
- Misrepresent identity, authority, employment, service, vehicle, payment, or payout information
- Interfere with the Service, bypass access controls, or compromise another account
- Access, copy, photograph, disclose, or use data that does not belong to you
- Reverse engineer or misuse the Service except as permitted by law
- Clone, replay, alter, sabotage, or falsely register a beacon signal or physical beacon
- Submit profile names, photographs, notes, or other content that is hateful, harassing, sexually explicit, graphically violent, deceptive, unlawful, or that infringes another person's rights
We may review, restrict, or remove user-provided content and suspend accounts when we reasonably believe they violate these Terms or applicable law. Participating businesses remain responsible for content submitted by their authorized personnel.
Third-party services and availability
The Service depends on third-party networks, devices, operating systems, payment providers, cloud services, messaging providers, and business-supplied data. We do not control those services and cannot guarantee uninterrupted, error-free, or secure operation. Features that queue or retry activity during limited connectivity do not guarantee delivery, payment, synchronization, or recovery. You are responsible for confirming important transactions and operational records.
Intellectual property and limited license
Gratuitease and its licensors own the Service, software, designs, trademarks, and related materials. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to use the Service for its intended purpose. You retain ownership of information and content you submit, but grant us the rights reasonably necessary to host, process, transmit, display, protect, and provide that content through the Service.
Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Gratuitease disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and security. Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded.
Limitation of liability
To the fullest extent permitted by law, Gratuitease and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, data, goodwill, or unauthorized access arising from or related to the Service, even if advised that such harm was possible.
To the fullest extent permitted by law, the aggregate liability of Gratuitease for all claims arising from or relating to the Service will not exceed the greater of (a) the fees you paid directly to Gratuitease during the twelve months before the event giving rise to the claim or (b) one hundred U.S. dollars ($100). These limitations do not apply to liability that cannot lawfully be limited, including liability for fraud, willful misconduct, gross negligence, or violation of applicable law. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
Indemnification
To the extent permitted by law, businesses and service professionals agree to defend, indemnify, and hold harmless Gratuitease and its officers, directors, employees, and agents from third-party claims, losses, liabilities, and reasonable expenses arising from their violation of these Terms, unlawful business or employment practices, misuse of the Service, content or information they submit, or physical valet and parking operations. This obligation does not apply to the extent a claim results from Gratuitease's own fraud, willful misconduct, gross negligence, or violation of law.
Suspension and termination
We may suspend, restrict, or terminate access if you violate these Terms; create legal, security, payment, fraud, or operational risk; or if suspension is reasonably necessary to protect the Service, users, or third parties. You may stop using the Service at any time. Provisions that by their nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, and indemnification—will survive.
You may initiate account deletion in the app or through our public account-deletion page. We deactivate discovery and account access and cancel recurring wearable billing as part of the request. Gratuitease may retain a de-identified account marker and the minimum transaction, payout, tax, consent, fraud, dispute, fulfillment, and audit records required to finish pending activity or meet legal obligations. Pending funds are sent to the previously linked payout destination when settlement permits. If no usable destination exists, restricted support review is required; funds are not forfeited merely because account access was deleted.
Changes to these Terms
We may update these Terms. We will revise the date above and provide notice when required. If a change is material, we may require you to review and affirmatively accept the revised Terms before continuing to use some or all of the Service.
Governing law and general terms
These Terms are governed by California law, without regard to conflict-of-law principles, except where another law must apply. If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, or sale of assets. These Terms and incorporated agreements form the entire agreement concerning the Service unless a separate written agreement applies.
